Both are widely used for private funds. Limited partnerships are the traditional structure — well-established legally and preferred by most institutional investors. LLCs offer more governance flexibility and simpler management structure, often used for smaller or more concentrated funds. The right choice depends on your investor base, strategy, and tax considerations; we’ll advise on which fits your specific situation.

It depends on your assets under management and the nature of your fund. Advisers to hedge funds and PE funds generally must register with the SEC when AUM reaches $110 million (or $150 million for advisers solely to private funds). Venture capital fund advisers and qualifying advisers below those thresholds may qualify for exempt reporting adviser status. We’ll assess your registration requirements as part of the engagement.
